SARL vs SA in Morocco: Which Legal Structure to Choose in 2026?

📅 22 Jan 2026 ⏱ 7 min read ✍️ MYM Invest

Choosing the right legal structure for your Moroccan entity is one of the most consequential decisions a foreign investor makes. The SARL and SA each have distinct characteristics, advantages and constraints that must be evaluated against your specific investment objectives.

The SARL — Morocco's Most Popular Structure

The Société à Responsabilité Limitée (SARL) is the default choice for most foreign investors entering Morocco. With a minimum capital of just 1 MAD (since the 2013 reform), limited liability protection, and flexible governance, it suits the vast majority of investment projects. Maximum 50 shareholders.

The SA — For Larger Investments

The Société Anonyme requires a minimum capital of 300,000 MAD (or 3 million MAD for public offerings). It is suited to large-scale investments, projects requiring board governance structures, and businesses that may eventually seek listing. Minimum 5 shareholders required.

Tax Considerations

Both SARL and SA are subject to Corporate Income Tax (IS) in Morocco. SARL can in some cases opt for the IR (income tax) regime if owned by one person. Dividend repatriation rules and withholding tax rates apply equally to both structures.

Making the Right Choice

For the vast majority of foreign investors in Morocco, the SARL is the optimal starting point. It offers the best combination of simplicity, cost-efficiency, and protection. An SA structure should only be considered when capital requirements, governance complexity, or investor relations specifically require it.
